Advertiser Agreement | Super Media One Agency

01. Definitions

"Advertiser": An individual or entity that enters into an agreement with Super Media One to promote its products or services.

"Campaign": A marketing initiative executed by Super Media One on behalf of the Advertiser, as detailed in the Insertion Order (IO).

"Insertion Order (IO)": A written agreement outlining the specifics of a Campaign, including objectives, deliverables, and payment terms.

"Leads": Information collected from potential customers (contact details, interests, preferences) generated through marketing efforts.

"Traffic": The flow of visitors directed to the Advertiser’s platforms through various marketing channels.

02. Services Provided

Super Media One agrees to execute marketing Campaigns as specified in the IO, utilizing its network of affiliates and marketing channels to generate high-intent Leads and Traffic for the Advertiser.

03. Advertiser Obligations

3.1 The Advertiser shall provide all necessary materials, including creatives, landing pages, and tracking links, in a timely manner to facilitate the Campaign’s execution.

3.2 The Advertiser is responsible for ensuring that all provided materials comply with applicable laws and do not infringe upon third-party rights.

04. Payment Terms

4.1 The Advertiser agrees to pay Super Media One within 15 days after the end of each calendar month for services rendered, as per the IO.

4.2 All payments shall be made in the currency specified in the IO through the agreed-upon payment method.

4.3 Late payments may incur interest charges at a rate of 1.5% per month or the maximum allowed by law, whichever is lower.

05. Lead Validation

5.1 The Advertiser has 7 days from the end of each month to validate the Leads provided.

5.2 If no validation or rejection is communicated within this period, all Leads shall be deemed accepted and payable.

5.3 Rejection of Leads must be based on predefined criteria agreed upon in the IO.

06. Compliance & Data Protection

6.1 Both parties agree to comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR).

6.2 The Advertiser acknowledges that it is the data controller for any personal data collected and processed during the Campaign.

07. Limitation of Liability

7.1 Super Media One shall not be liable for any indirect, incidental, or consequential damages arising from the Campaign.

7.2 Total liability under this Agreement shall not exceed the total amount paid by the Advertiser in the three months preceding the claim.

08. Termination

8.1 Either party may terminate this Agreement with 15 days written notice.

8.2 Upon termination, all outstanding payments for services rendered shall become immediately due and payable.

09. Modifications to Terms

9.1 Super Media One reserves the right to update or modify these Terms and Conditions at any time, without prior notice.

9.2 Continued use of Super Media One’s services after any such changes constitutes acceptance of the updated Terms.
